Darkly Energized does two different things, and they carry different disclaimers. Part A is about our market data and analytics platform. Part B is about our professional engineering and advisory work.

PART A: Market data and analytics

Important: Not Financial Advice

Darkly Energized operates a data visualization and analytics platform. Nothing on that platform constitutes financial advice, investment advice, or trading recommendations. All data, indicators, and analysis are provided for informational and educational purposes only. Always consult with a qualified, licensed financial professional before making any investment decisions.

1. Not Financial Advice

The information provided through the Darkly Energized platform ("the Platform"), operated by Darkly Energized LLC, is for general informational and educational purposes only. The Platform does not provide personalized financial advice, and no content should be interpreted as such.

You should seek the advice of a licensed financial advisor, broker, or other qualified professional before making any investment or trading decisions. Darkly Energized LLC is not a registered investment advisor, broker-dealer, or financial planner.

2. No Guarantee of Data Accuracy

The Platform aggregates data from third-party sources including the Federal Reserve Economic Data (FRED), Bank of Canada, Bank of Korea, Bank for International Settlements (BIS), CoinGecko, and others. These sources may revise, delay, or discontinue data at any time without notice.

Computed series, including liquidity composites and technical analysis overlays, are generated algorithmically from this third-party data. While we strive for accuracy, we cannot guarantee that any data, computed or raw, is accurate, complete, or current.

3. Assumption of Risk

Trading and investing in financial markets involves substantial risk. You acknowledge that:

All trading and investment decisions are made at your own risk.
Past performance of any data series, indicator, or market is not indicative of future results.
You may lose some or all of your invested capital.
The Platform is a tool for analysis, not a substitute for professional judgment.

4. Limitation of Liability

Darkly Energized LLC shall not be liable for any losses, damages, or costs arising from your use of or reliance on the Platform, including but not limited to trading losses, investment losses, or decisions made based on information obtained through the Platform.

5. Third-Party Content

The Platform may contain links to third-party websites or reference third-party data providers. We are not responsible for the content, accuracy, or practices of any third-party sites or services. Inclusion of any link does not imply endorsement by Darkly Energized LLC.

6. Forward-Looking Statements

Any projections, forecasts, or forward-looking indicators presented through the Platform are inherently speculative and based on assumptions that may not materialize. Such statements should not be relied upon as predictions of future events or performance.

7. Cryptocurrency Payment Risks

The Platform supports payments via the x402 protocol using USDC on the Base blockchain. By using cryptocurrency payments, you acknowledge and accept that:

All blockchain transactions are irreversible and non-refundable once confirmed.
You are solely responsible for ensuring the correctness of your wallet address and payment details.
Blockchain networks may experience congestion, delays, or outages that are beyond our control.
Darkly Energized does not provide cryptocurrency custody services and has no control over funds once a transaction is submitted.
You are responsible for compliance with all applicable laws and regulations in your jurisdiction regarding cryptocurrency transactions.

PART B: Professional services

This Part is about engineering and advisory work performed under a Statement of Work, and anything we say or provide while scoping or proposing one: engineering sprints, fractional CTO retainers, system audits, technical due diligence, and similar engagements. Part A does not apply to that work, and this Part does not apply to the Platform.

Nothing in this Part reduces what we have agreed with you in a Master Services Agreement or Statement of Work. Where they say more than this Part, they govern.

8. For the client we contracted with, and nobody else

Work we produce under a Statement of Work is prepared for the client who engaged us, for the purpose stated in that Statement of Work, and on the information available to us at the time.

No one else may rely on it. If a report, assessment, or recommendation of ours is shown to an investor, lender, acquirer, board, insurer, auditor, or any other third party, we accept no duty of care and no liability to that third party, whether or not we knew it might be shown to them. A third party who wishes to rely on our work should engage us directly.

9. No guaranteed outcome

We do not guarantee that any engagement will produce a particular result. In particular, we do not warrant that you will achieve or retain any certification, pass any audit, satisfy any regulator, or meet any standard (including ISO 27001 or any other framework) as a result of our work.

Preparing for an audit is not the same as passing one. Certification and regulatory outcomes are decided by the certifying or regulating body on evidence about your organization, most of which is yours rather than ours.

10. Not legal, tax, accounting, or regulatory advice

We are engineers. Our work may touch on legal, regulatory, tax, accounting, or insurance questions, and where it does we are describing technical facts and their engineering implications, not giving professional advice in those fields. Darkly Energized LLC is not a law firm, an accounting firm, or a licensed adviser in any regulated profession.

You should take advice from a qualified professional in the relevant field before acting on anything of ours that bears on one.

11. No fiduciary or officer relationship

Engaging us does not make us your officer, director, employee, agent, or fiduciary, and does not create a partnership or joint venture between us. This is so even where an engagement uses a title such as "fractional CTO", which describes the work and the seniority of the role, not an appointment to your company or an office within it.

We act as an independent contractor. We have no authority to bind you, to enter into commitments on your behalf, or to direct your personnel, except as a Statement of Work expressly provides.
